Vaudoise Versicherungen Holding AG Shareholders Approve Recommendations at General Meeting

Lausanne, 6 May 2024 – At the 34th ordinary general meeting of Vaudoise Versicherungen Holding AG, which took place today in Lausanne, the shareholders approved all the recommendations of the Board of Directors.

The shareholders approved the 2023 annual report as well as the corresponding annual financial statements and consolidated financial statements of the group. In addition, a dividend of CHF 22 per registered B share and CHF 0.30 per registered A share was approved. The dividend will be paid out from May 13, 2024. They also approved the report wages (consultative vote) and the sustainability report.

Strengthening equity
The general meeting dissolved the board of directors and approved the allocation of CHF 20 million to free retained earnings to strengthen the property’s equity base.

Re-election to the Board of Directors and the Compensation Committee
Philippe Hebeisen was re-elected as Chairman of the Board of Directors. Nathalie Bourquenoud, Eftychia Fischer, Martin Albers, Javier Fernandez-Cid, Peter Kofmel, Cédric Moret and Jean-Philippe Rochat were re-elected as board members for one year.

Vote on the salary of the members of the board of directors and management
The maximum total amount of remuneration for the members of the Board of Directors for the period from the 2024 Annual Meeting to the 2025 General Meeting as well as the maximum total amount that will be paid, guaranteed or given to the members of the Boards. Management was approved for the 2025 financial year.

Re-election of the independent voting representative and auditors
The notary office ACTA Notaires Associés in Morges was re-elected as an independent voting representative until the end of the next ordinary general meeting. Ernst & Young AG in Lausanne was confirmed as auditor and auditor of the group’s accounts for a further term of one year.
