Turkcell Sells Ukrainian Mobile Operator lifecell to French NJJ Capital: Details and Background

The Turkish telecommunications company Turkcell is selling the Ukrainian mobile operator lifecell to the French NJJ Capital.

Details: Turkcell sells the mobile operator lifecell (Lifecell LLC), a network of call centers (Global Bilgi LLC) and the mobile tower operator Ukrtauer LLC.

The reasons and amount of the transaction are not disclosed in the message.

The transfer of assets has not yet been completed. Information about the transaction “will be communicated to the public in full and in a timely manner,” the company said in a statement.

The nominal value of the shares sold is UAH 12.7 billion ($333.4 million) for lifecell, UAH 47.2 million for Global Bilgi LLC and UAH 1.96 billion for Ukrtauer LLC.

The third largest mobile operator in Ukraine is being bought by the French investment company NJJ Capital of billionaire Xavier Niel. Niel is the founder and majority shareholder of France’s third largest mobile operator, Iliad, (operating under the Free brand). Niel is also a co-owner of the Le Monde newspaper, the owner of Monaco’s largest telecom provider – Monaco Telecom, the Swiss telecom provider Salt Mobile and the Irish telecom company Eir.

Turkcell owned 100% of the operator lifecell. The sale of Ukrainian assets took place a few months after the head of Turkcell was changed – in October 2023, the company was headed by Ali Taha Koç.

Turkcell is a public company and its shares are traded on the Istanbul and New York Stock Exchanges. 54% of Turkcell shares belong to private shareholders. Another 26.2% of Turkcell is owned by the Turkish Welfare Fund (TWF), the remaining 19.8% is owned by the Luxembourg company IMTIS Holdings S.à.rl, which is wholly owned by the Dutch LetterOne, according to a September report to Turkcell shareholders.
