The general meeting began with the election of the chairman. It was ordered by Zygmunt Solorz, who was present remotely. In the next part of the speech, there was a discussion regarding the correctness of powers of attorney. However, the motion on this matter was not put to a vote.
Journalists were not allowed to attend the general meeting of Cyfrowy Polsat, similarly to Monday’s general meeting of Solorz’s energy company – ZE PAK. On site, we heard that the organizers “do not expect the presence of the media.”
After signing the attendance list and confirming the number of shares present at the meeting, the possibility of adopting resolutions was confirmed. The first concerned the appointment of an electoral commission.
Then, the agenda was adopted, which included a resolution on the purchase of leased real estate from the city of Warsaw (ul. Zabraniecka), a change in the number of members of the supervisory board and changes in its composition. After consenting to the purchase transaction, the general meeting decided to change the number of members of Cyfrowy Polsat’s supervisory board.
Key agenda item, prescient dismissal of Jarosław Grzesiak and Tobias Solorz from the company’s supervisory board, was put to a vote after a short break – approx. 14:55. An objection was filed regarding the dismissal of Tobias Solorz.
With this, the general meeting ended.
This is what’s happening in the business empire of Zygmunt Solorz, one of the richest Poles, is related to the conflict in his family, which “Gazeta Wyborcza” was the first to describe in detail a few days ago. As we also reported in Wirtualna Polska, Zygmunt Solorz accuses the children of succession trick. In turn, his children are convinced that their stepmother is trying to “take over” the property.
Currently, the chairman of the supervisory board of Cyfrowy Polsat is Zygmunt Solorz, and the vice-chairmen are: son Tobias Solorz and the above-mentioned Justyna Kulka, the billionaire’s current wife.
Family fighting for millions
They also recommend caution when making decisions regarding an entity called TiVi Foundation from Liechtenstein. This entity is the largest shareholder of the Polsat Plus Group, through the TiVi Foundation Zygmunt Solorz controls almost 60.5 percent. company shares.
Tobias Solorz was previously Vice-Chairman of the Supervisory Board of Cyfrowy Polsat. The vice-chairman of the latter council is also Solorz’s current wife, Justyna Kulka, who – according to media reports – is trying to take over the billionaire’s businesses against the will of his children.

As Paweł Rymarz, representing the interests of Zygmunt Solorz’s children, said, the dismissal of Zygmunt Solorz’s sons from the supervisory board of ZE PAK is irrelevant to the essence of the dispute, and the succession and transfer of joint control over the TiVi and Solkomtel foundations to the children has been completed.
– The dismissal of Tobias Solorz and Piotr Żak from the authorities of ZE PAK SA, or further actions that we can probably expect in the coming days, such as the alleged attempts to dismiss Tobias Solorz and Piotr Żak from the authorities of companies owned directly and indirectly by the TiVi and Solkomtel Foundations, have a purely personal, and are not relevant to the essence of the ongoing dispute – said attorney Rymarz.
Solorz’s businesses
Zygmunt Solorz’s main areas of interest are telecommunications, media, construction and energy. His companies are included in the Polsat Plus Group, and separately, Solorz is also the majority shareholder of the energy concern ZE PAK. Some ZE PAK companies have recently been transferred to the Polsat Plus Group. This mainly concerns wind farms and solar power plants.
The dominant entity in the Polsat Plus Group is the listed company Cyfrowy Polsat, in which Solorz is the main shareholder, holding, through other entities, among others TiVi Foundation from Liechtenstein 62 percent shares, giving over 70 percent votes at the general meeting.
Cyfrowy Polsat and its subsidiaries currently employ 8.2 thousand people. people. The company is the operator of the paid digital satellite platform “Polsat Box” and the operator of paid digital terrestrial television and a provider of telecommunications services. He has 31 percent. pay TV subscribers in Poland.
In 2023, the company’s revenues amounted to PLN 13.6 billion, EBITDA profit – PLN 3 billion, and net profit – PLN 300 million. The largest revenues are generated by retail sales from individual and business customers – almost PLN 7 billion. At the end of 2023, the liabilities of the entire group amounted to almost PLN 15 billion, of which PLN 10.6 billion were loans and advances, and PLN 4.3 billion were bonds.
