Summary :
The corporate and entertainment lawyer is responsible for acting as internal legal advisor for Rodeo FX and its various divisions, identifying and managing risks, negotiating, drafting and reviewing legal documentation such as contracts and agreements and to ensure that Rodeo is in compliance with all applicable laws or regulations. This person will be the main point of contact for external legal advisers.
This person will also oversee all matters relating to entertainment law, ensuring that intellectual property is properly protected, obtaining and negotiating distribution rights, licenses, etc.
Main Responsibilities:
- Write, review and / or comment on various legal documents such as contracts, corporate resolutions, nondisclosure agreements, trademark and patent filing documents, tax reorganization documents, memos and agreements of mergers and acquisitions, banking, financing and leasing agreements, supply contracts, partnership or outsourcing agreements (local and international), insurance policies and inter-company agreements. Lead or participate in negotiations on contracts and agreements.
- Act as the primary point of contact for all external legal advisers, working closely with them on special projects and communicating regularly to strategize on various legal issues.
- Identify business risks across all Rodeo divisions. Provide advice to Rodeo executives to manage or mitigate risk. Responsible for putting in place any corrective action, such as creating, implementing and communicating appropriate company policies, guidelines and / or processes.
- Manage annual company registrations (company registration for various companies, lobbying registers, etc.) and ensure compliance with conditions.
- Ensure the protection of intellectual property, ensuring that intellectual property is registered and that there is an appropriate chain of title. Responsible for copyright and trademark protection, obtaining music rights, recording music produced by Rodeo and other licensing matters for projects.
- Lead and / or facilitate negotiations on fees, distribution agreements, licensed broadcast rights and other terms with talent, partners or vendors.
- Take legal action following any breach of contract, theft of intellectual property, etc. Represent the company in all legal proceedings.
- Provide advice on all legal matters relating to the entertainment industry, such as guild and union regulations, intellectual property rights, etc. Review contracts to minimize potential liabilities, negotiate waivers of rights and license agreements, ensuring they are in Rodeo’s best interests.
- Ensure that appropriate systems are in place to securely manage and archive contracts, agreements and other documents, to ensure compliance and also to track obligations, expiration dates, etc.
- Provide relevant and timely advice and support to Rodeo FX executives on a variety of legal matters such as mergers and acquisitions, corporate legal structure, and other corporate or entertainment-related legal matters, as they arise.
- Ensure compliance with all applicable laws and regulations, keeping abreast of changes in legislation that directly affect Rodeo’s business and industry.
- Work on special projects related to their area of responsibility and management initiatives.
