Jakarta, CNBC Indonesia – PT Darma Henwa Tbk. (DEWA) announced the cancellation of the agenda for the Extraordinary General Meeting of Shareholders (EGMS) which will be held on December 18 2023.
Quoting information disclosure from the Indonesian Stock Exchange (BEI), the cancellation was in connection with the Financial Services Authority (OJK) Letter Number S-63/PM.023/2023 dated 13 December 2023 concerning changes and/or additional information regarding additional capital through the issuance of shares and/or equity securities.
“Taking into account the matters above, the agenda item relating to the Company’s plan to increase capital without pre-emptive rights (PMTHMETD) which will be sought for approval at the EGMS on December 18 2023 cannot be held,” wrote management, Friday (15/12 ).
For your information, the EGMS which will be held on December 18 2023 will discuss several agendas, including, related to PMTHMETD and the issuance of new series B shares originating from the company’s portfolio shares, including the implementation of the conversion of debt into shares.
This is as intended in Financial Services Authority Regulation no. 14/POJK.04/2019 concerning Amendments to Financial Services Authority Regulation no. 32/POJK.04/2015 concerning Increase in Capital for Public Companies with Pre-emptive Rights.
Next, we will discuss changes to the company’s articles of association, not limited to changes to the capital structure and changes to Article 4 paragraph (2) in connection with increasing issued capital and paid-up capital through PMTHMETD with the issuance of new series B shares.
Then, regarding the granting of authority and power with substitution rights to the Company’s Directors to take all actions in connection with the decision to implement PMTHMETD.
Apart from that, the company also canceled the agenda to change the composition of the company’s management.
