M.K. Mankong Housing Public Company Limited (MK) revealed that the Company’s Board of Directors Meeting No. 7/2023 on 2 Oct. 2023 resolved to approve the proposal to the shareholders’ meeting to consider approving the entry. Invest in ordinary shares of Sansiri Public Company Limited (SIRI) by exercising the right to convert warrants to purchase ordinary shares of SIRI issued to a limited number of persons in the amount of 700 million units into 700 million ordinary shares at the value of each share. 1.07 baht at a price of 1.10 baht per share, or equivalent to 4.08% of the total number of sold shares of SIRI after the conversion of the warrants. The company will pay the share price in cash of 770 million baht.
The Company has considered that entering into the said transaction is exempt from applying for permission to register the Company’s securities as listed securities with the Stock Exchange of Thailand again (Relisting) due to the acquisition of the said common shares. Conditions according to Section 24 of the announcement regarding the acquisition or disposal of assets in all respects. and thus the company is exempt from returning the request to receive new securities. But the company still has a duty to disclose information related to the transaction to acquire the company’s assets as follows.
1. Disclose information regarding the asset acquisition transaction. For investment transactions in SIRI to the Stock Exchange According to the announcement regarding the acquisition or disposal of assets
2. Arrange a shareholder meeting to request approval for entering into the asset acquisition transaction, which must be approved by the shareholder meeting. with a vote of not less than three-fourths of the total number of votes of shareholders The meeting was held on 20 Nov. 2023.
3. Appoint an independent financial advisor to provide opinions on the investment transaction in SIRI and submit such opinions to the Securities and Exchange Commission (SEC).
