The Extraordinary General Meeting of Shareholders (EGMS) of PT Bank CIMB Niaga Tbk approved the changes to the composition of the Board of Commissioners and Board of Directors of CIMB Niaga.
In the company’s official statement, the EGMS also accepted the resignation of Tigor M. Siahaan from his position as President Director, and appointed Lani Darmawan as the new President Director of CIMB Niaga.
Lani Darmawan’s term of office will be effective from the date specified in the EGMS that appointed him, and after obtaining approval from the Financial Services Authority (OJK) and/or the fulfillment of the requirements stipulated in the OJK letter (Effective Date), until the closing of the General Meeting of Shareholders. Fourth Annual Shares (AGMS) after the Effective Date.
On that occasion, the EGMS also accepted the resignation of David Richard Thomas from his position as Commissioner, effective May 31, 2021. In addition, the EGMS warmly accepted the resignation of Vera Handajani as Director of Risk Management effective August 1, 2021 and simultaneously approved her appointment as Commissioner. CIMB Niaga.
The shareholders also agreed to appoint Rusly Johannes, Joni Raini, and Henky Sulistyo, each as Director of CIMB Niaga. The third term of office is effective from the Effective Date until the closing of the fourth AGMS after the Effective Date.
Lani Darmawan is a female banker who has been in the banking world for 35 years in the Consumer and Retail Banking business with her last position as Director of Consumer Banking at CIMB Niaga.
Rusly Johannes previously served as Chief of Corporate Banking and Financial Institution concurrently Chief of Transaction Banking at CIMB Niaga, and Joni Raini previously served as Chief Human Resources Officer of CIMB Niaga. Meanwhile, Henky Sulistyo has more than 20 years of experience in the field of Risk Management. He returned to CIMB Niaga after a career in a number of banking companies, with his last position as Managing Director, Chief Risk Officer at PT Bank UOB Indonesia.

In accordance with applicable regulations, the EGMS is held electronically (e-GMS) using the eASY.KSEI application. In addition, the EGMS was physically held using video conference media which was connected to three separate meeting rooms at Graha CIMB Niaga, Jakarta, so that participants could still actively participate in the EGMS. There is also an alternative for electronic authorization (e-Proxy) through the eASY.KSEI application.
The voting is done through an electronic voting (e-voting) mechanism. For shareholders/proxies who are physically present at the EGMS location, conduct e-voting using smartphones, mobile devices, and touch screen monitors. Meanwhile, the shareholders/proxies who are present electronically conduct e-voting through the eASY.KSEI application.
