After several months of discussions and negotiations, the insolvency administrator Sebastian Laboga and his team from PLUTA Rechtsanwalts GmbH managed to achieve a future solution for the transport operations operated under the CleverShuttle brand. Several subsidiaries of the insolvent GHT Mobility GmbH recently offered over 20 on-demand services in more than 45 municipalities in Germany; These can continue to be served in the future after the agreement has been reached. The connections for passengers will remain in place and around 750 jobs at the GHT subsidiaries are secured.
With the assistance of lawyer Laboga, the traffic was transferred to new operators, subsidiaries of Via Transportation Inc. and Deutsche Bahn AG, on November 1, 2023. The jobs of the approximately 750 employees will be retained.
The Berlin start-up CleverShuttle was responsible for 21 on-demand transports in more than 45 municipalities. In the future, Deutsche Bahn will operate transport in the southeast and in Leipzig. Via operates on-demand transport in Hesse and Dresden. In addition, traffic in Lower Saxony and Regensburg will be continued by the regional operators themselves. Only small-scale traffic with one vehicle in Bavaria will no longer be operated. Otherwise, there is a future for all on-demand transport. Two new services were even started during the ongoing insolvency proceedings and will also be continued.
PLUTA lawyer Laboga explains: “I am very pleased that we have found solutions for the individual transports in close cooperation with everyone involved. This is extremely positive for the regions. These connections represent an important offer for a sustainable and good local transport connection.”
He adds: “The numerous and intensive negotiations were worth it. We have dealt with a wide range of legal and economic problems and successfully solved procurement law hurdles. This was the only way this handover of the individual connections was possible.”
Smooth continuation since application was submitted
GHT Mobility GmbH filed for insolvency in May 2023. The Charlottenburg District Court then ordered provisional insolvency administration over the company’s assets and appointed restructuring expert Sebastian Laboga from PLUTA Rechtsanwalts GmbH as provisional insolvency administrator. He has been working as an insolvency administrator since the proceedings opened in summer 2023. He is supported in the proceedings by the lawyers Tillman de Vries and Michael Bohnhoff. The individual subsidiaries that serve the connections were not affected by the application from the parent company GHT.
With a core team from the parent company, the insolvency administrator continued business operations after the bankruptcy was declared. GHT Mobility was responsible for IT and all organizational issues within the group. For example, in the past few weeks, it continued to take over the payroll of the non-insolvent subsidiaries so that wages could continue to be paid on time.
Particularly important was the continuation of the business operations of the operational subsidiaries that operate the transport. For this purpose, the insolvency administrator appointed the restructuring manager Mike Degen from WED+ Unternehmensberatung GmbH, who was responsible for the operational continuation. All passengers continued to be transported during the process.
The PLUTA restructuring team also started an investor process and held discussions with interested parties. This process showed that an overall solution for GHT Mobility GmbH is not possible. Laboga and his team therefore also examined possible solutions for individual traffic in the regions. This process is now complete and the transition to the new operators will be implemented without interruption. “The creditors, who can expect an above-average rate, also benefit from the solution,” explains the specialist lawyer and PLUTA restructuring expert Laboga.
