The case of the appointed director of Acciaierie d’Italia Carlo Mapelli – indicated by Invitalia – breaks out a few days before the shareholders’ meeting scheduled for next 21 July for the appointment of the board members. To open it a letter, which Adnkronos was able to view, from the lawyer of Acciaierie d’Italia, Fabio Giuseppe Montin, sent on July 14 to the lawyer of Invitalia, Pasquale Ambrogio, in which reference is made to a draft report of the assembly in which “the resignation of Engineer Mapelli from the position of director of Finarvedi Spa is acknowledged (as already in the draft of last April). However – continues the lawyer – this does not correspond to what is shown in the Chamber of Commerce survey extracted yesterday and attached here . This document also highlights engineer Mapelli’s additional board positions in our direct competitors “.
From the attached chamber of commerce surveys, it appears that Mapelli holds the position of director in Jsw Steel Italy Piombino (appointment deed on January 17, 2020 and term in office until the expiry of the current board) and in Piombino Logistics spa (appointment deed on January 17, 2020 and term of office until the current expiry of the board).
Hence the request, made by the Acciaierie d’Italia lawyer, to “check with Engineer Mapelli whether or not these findings are the result of a failure to promptly update the public register at the Cciaa, providing us with any appropriate documentary evidence and information about the absence of any cause of incompatibility of the designated director “.
Invitalia’s lawyer, Ambrogio, again on 14 July writes to the person concerned Mapelli. “Today we receive a communication from Acciaierie d’Italia Holding spa which, while acknowledging your resignation from the position of director of Finarvedi spa, is also attached the certificate of incorporation extracted yesterday and attached here. This document highlights, in reality – reads the letter viewed by Adnkronos – additional board positions held by you in competing companies of AdiH “. Hence the request addressed to Mapelli to confirm “whether these findings correspond to the truth or are the result of a failure to promptly update the public register at the Cciaa”. And Mapelli is also asked “to provide, in any case, all appropriate documentary evidence and information regarding the absence of any cause of incompatibility or conflict, even potential, of interest”.
Mapelli’s response to Invitalia’s lawyer was quick: “With regard to my position as a director of JSW Italia and its subsidiaries, I inform you that this steel company does not operate in the flat products sector (coils and sheets) nor of tubes but transforms only semi-finished steel products for rails, wire rod and bars (long products). Since therefore it is in no way a competitor of Acciaierie d’Italia (not even in terms of raw material acquisition, because there is no is no integrated cycle steel plant) my assignment is not incompatible and I have no intention of giving it up “.
An arm wrestling that could lead to a stalemate. Sources close to ArcelorMittal report, in fact, it may not vote for the appointment of Mapelli as it is the expression of a competitor of Acciaierie d’Italia.
