Vienna. So now it’s fixed: The EU Reorganization Act can come into force on August 1, as planned according to the government bill. It was passed in the National Council on July 7 and is on the Federal Council’s agenda for July 13. Austria is thus implementing the EU Mobility Directive – with a delay of six months.
This is intended to create a uniform legal framework for cross-border conversions, demergers and mergers of corporations. This should make it easier, for example, to relocate headquarters, M&A transactions or joint ventures. “The aim is to improve legal certainty and – as a result – to increase the mobility of corporations within the EU,” says Felix Augustus Kirkovits, lawyer in the corporate and corporate law team at FSM law firm, to “Presse”.
