He named company CEO Sam Altman and president Gregory Brockman as defendants in the case. Although Microsoft is mentioned extensively in the case, the company was not named as a defendant.
Why is Elon Musk suing OpenAI?
This thing came out a little out of left field. You’d expect Elon Musk to sue OpenAI if the company scraped data from X, or if ChatGPT made mean comments about the billionaire. However, this is not the case. In fact, Musk appears to be suing OpenAI for shutting it down. He believes that OpenAI’s original vision was to create open source artificial intelligence for the betterment of humanity. He alleges that OpenAI’s current state is a breach of contract, a breach of fiduciary duty and an unfair business practice.
“OpenAI, Inc. has been transformed into a closed-source de facto subsidiary of the world’s largest technology company, Microsoft,” Elon Musk says in his suit: “Under its new board, it’s not just evolving, it’s actually improving. AGI to increase Microsoft’s profits, not humanity.
While Microsoft is not the defendant, the company has been brought up a lot. Musk questions OpenAI’s real motives for developing artificial intelligence. Instead of being an open-source, for-profit company that develops artificial intelligence technology for humanity, it has essentially become a company that develops AI to line Microsoft’s pockets, he says.
Microsoft loma
Much of the case has to do with Microsoft’s influence on OpenAI. Microsoft is one of the largest companies in the world. Elon Musk claims that Microsoft’s motives are only to increase profits. He believes this has skewed OpenAI’s efforts. So instead of developing AI tools to help move humanity forward, the company is supposedly being forced to become Microsoft’s profit machine.
The company has an observer seat on the non-profit board of OpenAI. Although the company has a seat on the board, Microsoft does not control the company’s decisions. Additionally, Microsoft won exclusive rights to OpenAI’s GPT-3 technology in 2020, a full two years before the generative AI explosion.
Board
In the suit, one thing Elon Musk cites is the fact that the nonprofit’s current board members are no longer scientists. Until late last year, OpenAI’s non-profit board included AI researchers and scientists. However, the board was replaced following the firing and subsequent hiring of Sam Altman in November 2023. Musk says that board members are now made up of profit, not the advancement of AI technology for all.
Musk says, “OpenAI, Inc. the once carefully crafted not-for-profit structure was replaced by a purely profit-oriented CEO and board with inferior technical expertise in AGI and AI national policy. The council now has an observer seat reserved exclusively for Microsoft.
OpenAI is not so “open”
Another thing that Elon Musk complains about is the fact that OpenAI does not develop open source artificial intelligence. Rather, the code that powers ChatGPT resides behind closed doors, known only to OpenAI. He also says that Microsoft could also gain insight into the internals of OpenAI. In this case, Elon Musk wants OpenAI to make its source code public. So if Elon Musk wins the case, it could be a possibility. Suddenly making its code open source would be a huge demand for open AI. Also, if this were to happen, we’re pretty sure both companies, OpenAI and Microsoft, would be hard pressed.
Details are still scarce
This claim was filed on Friday, March 1st, so it’s still fresh. We’re not sure if Musk will be able to take this case to court. So far, neither Elon Musk nor OpenAI have commented on the lawsuit.
