Establishment and management of companies

The regulation added that in the event that the competent department approves upon accepting the incorporation application, the company’s commercial license is issued, the company’s registration number is issued, and the company’s articles of association are registered and publicized, and the company will acquire legal personality once it is registered with the competent department.

The regulation specified the penalties that will be applied to companies in the economic zones in the event that they violate the articles of the companies regulation, including: warning, suspension, or cancellation of the registration of the company or its branches, or a fine not exceeding one million riyals.
The authority affirmed that no penalty may be imposed on companies and branches without providing a reasonable opportunity to correct the violation and redress the damage, and when determining the penalty, it must take into account the nature, circumstances and extent of the seriousness of the violation, the intent and intent of the infringement, previous violations and recidivism, and the material damage caused as a result of the violation.
