Bank Mandiri Sells Shares in Axa Insurance Indonesia: Strategic Move for Subsidiary Consolidation

PT Bank Mandiri Tbk released all its shares in PT Axa Insurance Indonesia (formerly PT Mandiri Axa General Insurance, hereinafter referred to as All (a total of 138,000 shares).

In this disclosure, Bank Mandiri added that the share sales value did not reach 20% of the Company’s total equity value, so this transaction was not a material transaction as intended in OJK Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities.

“This transaction is also not an affiliate transaction and conflict of interest transaction as intended in OJK Regulation No. 42/POJK.04/2020 concerning Affiliate Transactions and Conflict of Interest Transactions. All material information has been disclosed and the information is not misleading,” he wrote.

Bank Mandiri said that this share transfer transaction was part of the company’s strategy to strengthen the consolidation of subsidiary companies in the Bank Mandiri Group to obtain optimal investment results, after previously Bank Mandiri released 40% of its share ownership in Mandiri AXA General Insurance in November 2018.

Previously it was reported that PT Mandiri AXA General Insurance (MAGI) changed its name to PT AXA Insurance Indonesia. The Financial Services Authority (OJK) through a Decree of the Members of the OJK Board of Commissioners has granted the implementation of a business license in the general insurance sector in connection with the name change.

“By granting the company a business license, PT AXA Insurance Indonesia is obliged to carry out business activities to always apply healthy business practices and always refer to applicable laws and regulations,” wrote the OJK.
