The Annual General Meeting of Shareholders (AGMS) of PT Bank Mandiri (Persero) Tbk reshuffled the composition of the company’s directors and commissioners on Thursday (7/3). (CNN Indonesia/Ramadhan Nur Fadillah).

Annual General Meeting of Shareholders (AGMS) PT Mandiri Bank (Persero) Tbk reshuffled the composition of the company’s directors and commissioners on Thursday (7/3).
The reshuffle was carried out by dismissing Susana Indah Kris Indriati as director and Andrinof A Chaniago and Nawal Nely as commissioners of the company.
The shareholders then transferred the assignment of Deputy President Commissioner to Zainudin Amali, and transferred Riduan as Director of Corporate Banking and appointed Deputy for HR Management, Technology and Information at the Ministry of BUMN Tedi Bharata as Commissioner of the company.
Furthermore, the position of Director of Commercial Banking at Bank Mandiri, previously held by Riduan, was replaced by Totok Priyambodo, who was previously SEVP Commercial Banking at Bank Mandiri.
Then, shareholders also appointed Danis Subyantoro as Risk Management Director of Bank Mandiri replacing Ahmad Siddik Badruddin who was assigned as Risk Management Director of PT Pertamina (Persero). Danis previously served as SEVP Internal Audit of Bank Mandiri.
The overhaul will become effective after obtaining approval from the Financial Services Authority for the Fit and Proper Test Assessment and compliance with applicable laws and regulations.

We believe that this shareholder decision will be able to bring the Bank “Mandiri plays an increasingly important role in accelerating national growth for a more advanced Indonesia,” said Bank Mandiri President Director Darmawan Junaidi in an official statement.
Furthermore, the AGMS also determined 60 percent of the 2023 consolidated net profit or around IDR 33.03 trillion as dividends to be distributed to shareholders. Meanwhile, the remaining 40 percent was agreed to be retained earnings for strengthening capital and business development.
From this value, the total dividends distributed to the government for ownership of 52 percent of the shares or IDR 17 trillion will be deposited into the State General Treasury Account.
Throughout 2023, the company managed to achieve a net profit of IDR 55.1 trillion, growing 33.7 percent (yoy).
