On the 9th, in response to the Korea Exchange’s request for public disclosure regarding the report on the acquisition of SM shares, Hive said, “We are continuously reviewing matters related to the acquisition of shares, such as the tender offer for SM’s shares.” We will announce it again within a month.”

With Hive officially acknowledging that it is pushing for a tender offer for SM shares, Kakao’s plan to acquire SM is likely to fall into a mystery. Kakao plans to acquire a 9.05% stake by acquiring new shares and convertible bonds from SM’s paid-in capital increase. He is the second-largest shareholder after the current largest shareholder, Lee Soo-man.

Regarding the acquisition of Kakao’s shares, General Manager Lee Soo-man filed an application for a provisional injunction to cancel the capital increase, arguing that “investing through paid-in capital increase and convertible bonds is an illegal act that violates the commercial law and the articles of incorporation.”

If Hive promotes a tender offer for SM stocks, there is a possibility that it will purchase the shares of Lee Soo-man, the current largest shareholder, and general minority shareholder stocks. In this case, Hive will become the largest shareholder of SM and take control.

It is observed that if Hive, which has global artists such as BTS, Seventeen, Tomorrow by Together, ENHYPEN, New Jeans, and Le Seraphim, acquires SM, which includes NCT, Espa, and EXO, a significant change in the perception of the K-pop industry will occur. .
