These are hectic days in the Giallorossi house, the date of 17 August is approaching and coincides with the closing that will bring the club into the hands of the new owners. As reported by milanoefinanza.it, at the request of Consob, Friedkin Group today confirmed in a note that the consideration agreed for the acquisition of 86.6% of theAs Roma and of 63.414.047 euro corresponding to a unit price of 0,1165 euro per share. After yesterday the stock lost 30.92% to 0.28 euros, the stock has not yet opened today. Once the purchase contract is finalized, writes Friedkin, whose closing is expected to take place on 17 August, on the basis of articles 102 and 106 of the TUF, a takeover bid on the entire capital of the company will be launched, again at a value of 0.1165. Specifically, the transaction will be carried out through a sale to Friedkin of the entire stake held by As Roma Spv in the Club equal to 86.6% of the club’s share capital, of which 3.3% directly and one indirect 83.3% held by As Roma Spv through the subsidiary Neep Roma Holding Spa.
Under the agreements, Friedkin will have to acquire 100% of the capital of Neep and 100% of the capital of Asr Soccer LP Srl and Asr Retail Tdv Spa. 63.41 million euros, according to As Roma is an overall transaction of 591 million euros.
As Roma Spv assigned an enterprise value to the entire operation of 591 million, valuing the club 549 million, with an overall mix equity value of 73.26 million determined on the basis of the price per share multiplied by 628,882,319 shares issued, to be added 413.079 million of debt.
The transaction is expected to close by the end of August and will result in Friedkin’s obligation to launch a mandatory public offering on the club’s outstanding shares, which represent 13.4% of the share capital.
