Corporations are obliged to submit their annual or consolidated financial statements and management report to the commercial register court no later than nine months after the balance sheet date.
The disclosure requirements also apply to so-called “capitalist partnerships” (e.g. GmbH & Co KG), in which no natural person acts as an unlimitedly liable general partner.
The disclosure must be submitted electronically in a structured format. Companies with an annual turnover of up to EUR 70,000.00 can submit their annual financial statements either in paper form or electronically.
The submission can be made by the company itself or by the appointed auditor, notary or lawyer.
Many corporations prepare their annual financial statements with a cut-off date of December 31. The disclosure deadline for these annual financial statements therefore ends on September 30, 2024.
Organize the preparation of the annual financial statements in good time. If they are not submitted on time, you will automatically be fined at least EUR 700.00 for each legal representative and the company. The fines are imposed multiple times and the amount increases.
