As a result of the conversion of VMOC and the consequent increase in the Company’s share capital and, as well, the dilution of shareholdings, as of February 15, 2024, the shareholder structure of Sporting SAD (qualified holdings) will be dominated by Sporting Clube de Portugal with around 88%.
Sporting Clube de Portugal exercised the right to convert mandatorily convertible securities (VMOC) into ordinary shares of Sporting SAD, which therefore saw its capital increase to 201.99 million euros.
“The shareholder Sporting Clube de Portuga informed the Company that he had exercised the right to convert the following securities that are mandatorily convertible into Sporting SAD ordinary shares”, reads the statement sent to the market.
Within the scope of the VMOC issue called Valores Sporting 2010, SCP exercised the conversion option right of 27,416,952 VMOC. In the case of the VMOC issue called Valores Sporting 2014, the SCP exercised the right to convert 24,000,000 VMOC.
The exercise of the conversion option right determines the delivery to the SCP of Sporting SAD shares corresponding to the nominal value of the VMOC, with the shares to be delivered to the SCP being category A shares, “under the terms of the Legal Regime of Sports Societies”.
As a result of the conversion of VMOC and the consequent increase in the Company’s share capital and, as well, the dilution of shareholdings, as of February 15, 2024, the shareholder structure of Sporting SAD (qualified holdings) will be dominated by Sporting Clube de Portugal with 75.635% of category A shares. Which together with the participation of Sporting SGPS, which has 12.358% of category B shares, makes up 87.994%.
Still according to the communications made to the Company, as well as the percentage of capital and attributable votes, it appears that Álvaro Sobrinho, through Holdimo, now has 9.901%.
The dispersed capital is 2.105%.
“As a result of the aforementioned conversion of 2010 Sporting Securities and 2014 Sporting Securities into Sporting SAD shares, the Company’s share capital now amounts to 201,990,453 euros [201,99 milhões de euros]represented by 201,990,453 shares, and the registration of the increase in share capital has already been requested with the competent commercial registry”, reads one of Sporting’s statements.
The club directors, Frederico Varandas, Francisco Salgado Zenha and André da Costa Cabral Bernardo, converted VMOC from both series and as such became small shareholders in SAD.
