Cancellation of the Extraordinary General Meeting on July 21, 2023
The extraordinary general meeting of LEHNER INVESTMENTS AG convened by the shareholder Kugelbake Beteiligungs UG (limited liability) (“Kugelbake”) by virtue of court authorization for July 21, 2023 at 9:00 a.m. at the premises of FM Notare, Taunusanlage 17, 60325 Frankfurt am Main is hereby cancelled.
With a decision dated July 18, 2023, the 31st civil senate of the Munich Higher Regional Court (Az. 31 Wx 148/23 e) suspended the decision of the Munich District Court (registry court) of May 30, 2023 regarding the authorization of the Kugelbake shareholder to convene an extraordinary general meeting of LEHNER INVESTMENTS AG.
The Kugelbake shareholder will therefore place agenda item 2, which was intended for the extraordinary general meeting of LEHNER INVESTMENTS AG, in addition to other agenda items, as a request for an addition to the agenda of the ordinary general meeting of LEHNER INVESTMENTS AG. With regard to agenda item 1, it is expected that the Management Board will explain this as part of its Management Board report at the Annual General Meeting on August 18, 2023. Furthermore, Kugelbake considers item 3 of the agenda to be completed with the publication of the company’s ad hoc announcement of June 15, 2023. The Annual General Meeting of LEHNER INVESTMENTS AG will take place on August 18, 2023 at 10:00 a.m. in the premises of the Criterion Conference Center, Aschauer Straße 28-32, 81549 Munich.
The convening of the extraordinary general meeting of LEHNER INVESTMENTS AG on July 21, 2023, which was announced in the Federal Gazette on June 14, 2023, is therefore irrelevant.
