Djarum Group Disburses Nearly Rp 20 T for Caplok Companies

Companies under the banner of the Djarum Group are eager to expand. The company made acquisitions with a total value of around Rp 18.75 trillion or close to Rp 20 trillion.

First, PT Global Digital Niaga (GDN) or Blibli has just completed the acquisition of 797.88 million shares or 51% of the shares of the Ranch Market manager, PT Supra Boga Lestari Tbk (RANC).

As quoted from a company statement, Friday (1/10/2021), Blibli has taken over Supra Boga Lestari’s shares from PT Wijaya Sumber Sejahtera, PT Prima Rasa Inti, PT Gunaprima Karyaperkasa, PT Ekaputri Mandiri, David Kusumodjojo, Suharno Kusumodjojo, and Harman Siswanto. .

“The acquisition of the shares resulted in a change of operations at RANC,” the statement reads.

The shares were purchased at a price of Rp 2,550 per share. Thus, the total value of the takeover transaction is IDR 2.03 trillion.

Second, there is PT Sarana Menara Nusantara Tbk (TOWR) through PT Professional Telekomunikasi Indonesia or Protelindo which acquired a 94.03% stake in PT Solusi Tunas Pratama Tbk (SUPR) for IDR 16.72 trillion.

The total number of shares purchased was 1,069,614,676 shares. Then, the share purchase price is Rp 15,640.51 per share. Thus, the total value of the acquisition is Rp 16,729,319,036,125.

The statement explained that prior to the takeover date, Protelindo did not own directly or indirectly the shares issued by SUPR.

“The purpose of the takeover is to develop the PRTL business and expand the business network in order to strengthen the PRTL position as an independent tower owner and operator in order to serve Indonesian telecommunications operators,” the statement read.

In accordance with the applicable provisions, Protelindo will conduct a mandatory tender. “As a result of the implementation of the acquisition, PRTL will carry out a mandatory tender offer in accordance with OJK Regulation No. 9/2018,” this statement reads further.

In total, the funds disbursed from these two corporate actions amounted to Rp 18.75 trillion.
