PHH advises HPS Holding on deal with Global Leisure

M&A. PHH advised the Austrian HPS Holding on the sale of its holdings in five subsidiaries to the Global Leisure Group.

The Law firm PHH advised the shareholders of HPS Holding on the sale of their stakes in five subsidiaries in Austria, Germany and Slovakia. The buyer is the Swedish Global Leisure Group.

With Playlife Germany, Playlife, ThemeWorks and Cheer Amusement Europe from Slovakia and the HPS Play Company from Austria, the Global Leisure Group is taking over five companies in the field of leisure and play concepts.

According to the information, PHH was responsible for the entire transaction process, including drawing up the master share purchase agreement.

The advisory team

The team at PHH Rechtsanwälte was led by partner Rainer Kaspar and lawyer Matthias Fucik (both M&A) and also included partner Nicolaus Mels-Colloredo (Employment), counsel Philip Rosenauer (Corporate / M & A), lawyer Leopold Opferkuch (Employment) and trainee lawyer Johannes Metzler (M&A).

For the non-Austrian aspects of the transaction, the PHH team was supported by Petra Marková, Eversheds Sutherland, Slovakia, and Sten Hedbäck, TM & Partners, Sweden.

The Global Leisure Group was represented in the lead by Oliver Cleblad von Kallan and Clemens Schindler, Martin Abram and Isolde Klinger from Schindler Rechtsanwälte.
